1. Scope of Services

Newsbreaker II is a SaaS floating widget service provided by Ulpia GmbH. It allows customers to display real-time content (news, alerts, promotions, updates) on their websites via a floating widget, ticker, feed or banner mode.

2. Free and Paid Plans

We offer a free plan (1 channel, 5,000 impressions/month) and paid plans as published on our pricing page. Paid plans are billed monthly or annually (with 50% discount on annual billing).

3. Usage and Restrictions

• Each channel is tied to one API key and one allowed domain.
• The widget may only be used on the domain(s) specified in the allowed_domain field.
• Customers are responsible for the content they publish through the widget.
• Ulpia GmbH reserves the right to suspend or terminate service for violation of these terms or applicable law.

4. Intellectual Property

All rights to the Newsbreaker II software, design, and branding remain with Ulpia GmbH. Customers receive a limited, non-exclusive, non-transferable license to use the widget on their approved domain(s).

5. Limitation of Liability

Ulpia GmbH is not liable for any indirect, consequential, or incidental damages. Our total liability shall not exceed the amount paid by the customer in the 12 months preceding the claim.

6. Termination

Both parties may terminate the service with 30 days' notice. Ulpia GmbH may terminate immediately for material breach or non-payment.

7. Governing Law

These terms are governed by the laws of the Republic of Austria. Place of jurisdiction is Vienna.
